1. Who these terms are between

These Terms & Conditions ("Terms") are an agreement between you ("you", "Client") and GrowitUp Media Private Limited ("GrowitUp", "we", "us"), a company incorporated in India (CIN: U73100GJ2023PTC145770) with registered office at Sovereign Shoppers, 312/313, Anand Mahal Rd, beside Sindhu Seva Samiti School, Honey Park, Adajan Gam, Adajan, Surat, Gujarat 395009, India.

They govern your use of https://growitup.co (the "Site") and any services you purchase from us. By using the Site or engaging our services, you agree to these Terms. If you don't agree, please don't use the Site or our services.

Where you and GrowitUp sign a separate service agreement, proposal, or statement of work, that document governs and these Terms apply to anything it doesn't cover. If there's a conflict, the signed agreement wins.

2. The services

GrowitUp provides done-for-you content and growth services for coaches and creators. Depending on your plan, these may include:

  • Content strategy, topic research, and video ideation
  • Scriptwriting and outlines
  • Long-form video editing
  • Short-form editing (Shorts, Reels)
  • Thumbnail design
  • Titles, descriptions, tags, and on-platform optimisation
  • Publishing and scheduling across agreed platforms
  • Email marketing to your list
  • Community management and member support
  • Funnel, lead magnet, and product-build support

The exact scope, monthly volume, platforms, and deliverables for your engagement are set out in your plan or proposal ("Scope"). Work outside the Scope may be quoted separately.

3. How we work together

Onboarding. After you sign up, we run an onboarding process to agree your Scope, your goals, communication channels, and access requirements.

Your dedicated manager. You are assigned a single point of contact who coordinates the team, receives your requests and feedback, and manages the workflow.

Delivery targets. We aim to deliver long-form edits within 24–48 hours of receiving usable raw footage, and scripts on the agreed schedule. These are targets we work hard to meet, not contractual guarantees, and they depend on your materials arriving complete and on time, on the length and complexity of the footage, and on public holidays or agreed leave. If a deadline is critical, tell your manager in advance.

Revisions. Your plan includes unlimited revision rounds on deliverables within the agreed Scope, provided requests relate to the original brief. Requests that change the brief, add new deliverables, or repeatedly reverse previously approved decisions may be treated as new work.

Files. Deliverables are provided in final export formats (typically .mp4 for video, .png/.jpg for images) via Google Drive or another platform agreed with you. Project or working files (for example .prproj, .aep, .psd) are not included as standard and remain our property. We will provide them on request, subject to written agreement.

4. What you're responsible for

To let us do our job, you agree to:

  • Provide raw footage and materials on the agreed schedule and in usable condition
  • Provide the access we need (channel access, email platform, community platform, or similar) and keep it active for the engagement
  • Give clear direction, approvals, and feedback within reasonable timeframes
  • Ensure everything you give us — footage, music, images, brand assets, claims, and copy — is lawful, accurate, and either owned by you or properly licensed for our use
  • Comply with the terms of the platforms you publish on (including YouTube, Instagram, and any community or email platform)
  • Hold and maintain any professional licences, disclaimers, or disclosures your own business or offers require

If your materials or approvals are delayed, delivery timelines shift accordingly. We are not liable for missed launches or campaign dates caused by delays outside our control.

5. Access and credentials

Where you grant us access to your channels, email platform, community, or analytics:

  • We use that access only to perform the services
  • We limit access to team members who need it
  • We do not change account ownership, billing, or security settings without your instruction
  • We do not publish paid promotions, sponsorships, or brand deals without your approval
  • Access is limited to team members working on your account, protected by two-factor authentication on our business accounts, and every team member and contractor is bound by a signed confidentiality agreement
  • You may revoke access at any time, and we will remove our access within 7 days of a written request or of the engagement ending

Handling of any personal data within your systems is covered in our Privacy Policy and, where applicable, a Data Processing Agreement.

6. Ownership of the work

Your content stays yours. You retain all rights in the raw footage, brand assets, and materials you provide.

Final deliverables transfer to you. On full payment for the relevant month, we assign to you all rights we hold in the final deliverables produced in that month, so you can publish, adapt, and monetise them freely.

What we keep. We retain ownership of our project and working files, our templates, presets, internal processes, methodologies, and any general know-how — none of which is exclusive to you.

Licensed assets. Stock footage, music, graphics, fonts, and similar assets used in your deliverables are licensed to us or to you from third parties (for example Envato Elements) under those providers' licences. Those licences cover use within the delivered files. Individual stock assets are not supplied separately, and you may not extract or relicense them.

If you don't pay. Rights in deliverables for any unpaid period do not transfer until payment is received.

7. Using your work in our portfolio

Unless you tell us otherwise in writing, you grant us a non-exclusive licence to reference your name, channel, logo, published deliverables, and publicly verifiable results in our portfolio, website, and marketing.

We will not publish private figures — revenue, member counts, conversion data, or anything not already public — without your written approval. You may withdraw this permission at any time by emailing contact@growitup.co, and we will remove the material from our own channels within 30 days, although we may be unable to recall material already distributed.

8. Confidentiality

Each party agrees to keep the other's confidential information confidential, to use it only for the purposes of the engagement, and not to disclose it to third parties except to team members and subcontractors bound by equivalent obligations, or where disclosure is required by law. This obligation survives termination for three (3) years.

We treat your unpublished content, strategy, audience data, and business figures as confidential.

9. Fees and payment

  • Fees, billing frequency, and inclusions are set out in your plan or proposal. We do not publish prices on the Site.
  • Fees are payable in advance for each billing period. Work begins once payment is received.
  • Payment is made via Stripe, PayPal, Wise, or bank transfer, as agreed with you.
  • Fees are exclusive of taxes. Where Indian Goods and Services Tax applies to your engagement, it will be shown separately on your invoice and charged in addition to the fees. Services supplied to clients outside India are treated as an export of services and are zero-rated under Indian GST law where the applicable conditions are met.
  • You are responsible for any other taxes, duties, withholding, or bank and currency conversion charges applicable in your own jurisdiction. If you are required by law to withhold tax from a payment, the amount payable will be increased so that we receive the amount we would have received had no withholding applied.
  • If payment fails or is late, we may pause work and delivery until it is resolved. We will tell you before pausing.
  • We may change fees for future billing periods by giving you at least 30 days' written notice. Any change applies from your next renewal, never mid-period.

10. Cancellation

Engagements are month-to-month unless your proposal says otherwise. Either party may cancel at any time by giving written notice to contact@growitup.co. To stop the next charge, notice must reach us at least seven (7) days before your renewal date; notice given inside that window takes effect at the end of the following billing period. There is no minimum term and no cancellation fee.

You keep access to work delivered and paid for. Full details, including refund eligibility and what happens to work in progress, are set out in our Cancellation & Refund Policy, which forms part of these Terms.

We may terminate immediately if you breach these Terms, fail to pay, or if Section 15 (Acceptable use) applies.

11. Results disclaimer

We do not guarantee results.

The results shown on our Site — including subscriber growth, view counts, revenue, and community figures — are the actual results of specific named clients. They are individual results and are not typical, promised, or guaranteed. Your outcome depends on factors largely outside our control, including your niche, your offer and its pricing, your on-camera delivery, your consistency, your existing audience, market conditions, and platform algorithm changes.

Where we agree specific targets with a particular client, those targets will be set out in a signed written agreement. Absent that, no representation on our Site, in a call, or in any communication constitutes a guarantee of results, revenue, or return on investment.

Nothing we provide is financial, legal, tax, or professional advice.

12. Platform dependence

Our services depend on third-party platforms (YouTube, Instagram, email and community platforms, and others). We are not responsible for their availability, policy changes, algorithm changes, monetisation decisions, account suspensions, or any loss of reach or revenue resulting from them, except where directly caused by our negligence or breach of these Terms.

13. Site content and intellectual property

All content on the Site — text, graphics, video, design, and our name and logo — is owned by GrowitUp or its licensors and protected by Indian and international copyright and trademark law. You may view and share the Site for personal, non-commercial purposes. You may not copy, reproduce, republish, sell, or create derivative works from it without our written permission. 14. Content you submit to the Site

If you submit comments, testimonials, images, or other material to us or through the Site, you confirm you own it or have the rights to it, and you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, and display it in connection with our business, including in marketing. You may withdraw this by written request, and we will stop using it within 30 days. We may remove any submission at any time.

You must not submit anything unlawful, defamatory, obscene, infringing, or harmful.

15. Acceptable use

We may suspend or terminate services if you use them for unlawful purposes; for adult, hateful, or deceptive content; to make false or misleading claims to your own audience; to infringe others' intellectual property; or if you abuse, harass, or threaten our team. In cases of abuse toward our team, we may terminate immediately without refund of the current period.

16. Warranties and disclaimers

We will perform the services with reasonable skill and care, using suitably qualified personnel.

Because video and design work is creative and iterative, we cannot warrant that deliverables will be free of every error. Please review deliverables on receipt and tell us about any errors or omissions promptly so we can correct them.

Except as expressly stated in these Terms, and to the fullest extent permitted by law, the Site and services are provided "as is" and we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

17. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.

Subject to that:

  • Neither party is liable for indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, goodwill, or anticipated savings.
  • Our total aggregate liability arising out of or in connection with these Terms is limited to the total fees you paid us in the six (6) months immediately preceding the event giving rise to the claim.

18. Governing law

These Terms and any dispute arising out of or in connection with them are governed by the laws of India, without regard to conflict of law principles.

19. Disputes

If a dispute arises, both parties agree to first attempt to resolve it in good faith by discussion, within thirty (30) days of written notice.

If it cannot be resolved that way, the courts of Surat, Gujarat, India have exclusive jurisdiction over any claim arising out of or in connection with these Terms, and you and GrowitUp each submit to that jurisdiction.

Nothing prevents either party from seeking injunctive relief to protect intellectual property or confidential information.

20. General

Independent contractors. Nothing here creates a partnership, joint venture, or employment relationship.

Subcontracting. We may use vetted team members and subcontractors to deliver the services and remain responsible for their work.

Force majeure. Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, war, epidemics, internet or utility failure, or government action.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of our business.

Severability. If any provision is held unenforceable, the rest remain in effect.

Entire agreement. These Terms, together with your plan or proposal, the Privacy Policy, and the Cancellation & Refund Policy, are the entire agreement between us.

Changes. We may update these Terms. The current version is always posted here with its effective date. Material changes affecting existing clients take effect at the start of the next billing period, and we will notify you.
